SALE AGREEMENT

This Sales Agency agreement (Agreement) is made and executed on this day 2026 at Chennai between M/s EBD Bikes represented by its Sole Proprietor Mr. Jaikanth Shanmugam (Aadhar No. 5827 8348 1260, GST No. 33ADQPJ4625B1ZU) having showroom cum Café outlet at No.A-1, Ground Floor, Indus Times Square, 3/184, East Coast Road, Uthandi, Chennai-600119 hereinafter referred to as the “Agent” which expression shall, unless repugnant to the context or meaning thereof, include his legal representatives, successors and permitted assigns

Mr. _______________________ (Aadhar No.________________), residing at ___________________________________________________________ (hereinafter referred to as the “Seller”).
The Seller and the Agent are hereinafter referred to as the “Parties”.

Whereas the Agent has represented that the Proprietor possesses the necessary experience, expertise and infrastructure to market and facilitate the sale of pre-owned motorcycles. The concept of the business is the Sellers/Customers who want to sell their superbikes can park it in EBD Bikes’ platform at a premium parking fee of Rs.250 per day which will apply from the date of parking. The said premium parking charges will only apply for Sellers who pull out the bike from EBD Bikes’ platform before the sale can get concluded. When the bike is sold on EBD Bikes’ platform, a commission of 2% on the sale amount plus applicable GST on the same is to be paid to the Agent across the table once the deal is completed.

1) Appointment as the Sole Agent

The Seller hereby appoints EBD Bikes as its exclusive sales agent and allows EBD Bikes to market, promote and facilitate the sale of his/her motorcycle through social media campaigns.

2) Duties of the Agent

The Agent shall:

  • Identify prospective customers, promote and market the motorcycle of the Seller, arrange for demos and test rides, assist with documentation and delivery.
  • Maintain proper books and records.
  • Comply with all applicable laws and seller’s policies.
  • To act in good faith and take utmost care of the Seller’s motorcycle to the extent possible.

3) Duties of the Seller

The Seller shall:

  • Supply his/her motorcycle in good condition.
  • Disclose any known defects of the motorcycle to the agent.
  • Provide valid registration and ownership documents.
  • To pay the agreed commission to the Agent on sale completion.
  • To pay premium parking charges of Rs.250/- per day (applicable from date the motorcycle is parked on EBD Bikes platform) if the motorcycle is pulled out from the Park & Sell platform of EBD Bikes before the sale can be concluded on the Agent’s platform.

of the sale value from the Seller on sale completion, to be paid across the table from the date of receipt of the full sale consideration.

PARKING FEERs.250 / day

Applicable if pulled out before sale conclusion.

5) Sale Price

The Sale price of the motorcycle shall be fixed solely by the seller. The agent shall not alter the price or grant discounts without prior written approval from the seller.

6) Sale Proceeds

Unless specifically authorized by the seller in writing, the agent shall not receive or retain any sale consideration on behalf of the seller.

7) Transfer of Ownership

The transfer of ownership of the motorcycle shall remain with the seller until full payment of sale consideration is made or the vehicle is legally transferred to the purchaser.

8) Confidentiality

The agent (EBD Bikes) shall keep confidentiality of all business information, customer details, pricing policies and Trade information belonging to the seller.
